Submission of Matters to a Vote of Security Holders. |
This Current Report on Form 8-K/Ais being filed to update the Current Report on Form 8-Kof ContextLogic Inc. (the 'Company') filed on June 11, 2021. The sole purpose of this amendment is to provide the Company's decision on the frequency of holding a stockholder advisory vote on the compensation of the Company's named executive officers (the 'Say-on-PayVote'), based on the results of the voting at the Company's Annual Meeting of Stockholders held on June 8, 2021 (the 'Annual Meeting').
At the Annual Meeting, the Company's stockholders approved, on an advisory basis, the option of holding of the Say-on-PayVote every one year. In light of this vote, the Board of Directors of the Company (the 'Board') determined that it will hold the Say-on-PayVote every year until the Board decides to hold the next stockholder advisory vote on the frequency of Say-on-PayVotes, which is required to occur no later than the Company's Annual Meeting of Stockholders in 2027.
